2. Eligibility

You may use the Services only if:

  • you are at least 18 years old; and
  • you have legal capacity to enter into binding agreements.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

3. Service Scope

LyncLab offers:

  • marketing website content,
  • platform and dashboard access,
  • pilot/demo portal access, and
  • related support and communications.

Some features may be available to public/self-serve users, while others may require registration, approval, or commercial agreement.

4. Accounts and Security

Where account access is required, you must:

  • provide accurate and current information,
  • keep login credentials confidential,
  • maintain account security,
  • promptly notify us of any unauthorized access or suspected breach.

You are responsible for activities under your account except where caused by our proven fault.

5. Acceptable Use

You agree not to:

  1. use the Services for unlawful, fraudulent, or harmful purposes;
  2. infringe intellectual property, confidentiality, privacy, or other rights;
  3. transmit malware, malicious code, or harmful content;
  4. attempt unauthorized access, probing, or security circumvention;
  5. disrupt system integrity, stability, or performance;
  6. reverse engineer/decompile the Services except where expressly permitted by law;
  7. use scraping, bots, or automated extraction without our written permission;
  8. misrepresent identity, affiliation, or authority;
  9. upload or share content that is defamatory, deceptive, abusive, or illegal.

We may suspend or terminate access for violations.

6. User Content

“User Content” means data or materials you provide/upload through the Services.

  • You retain ownership of your User Content.
  • You grant LyncLab a non-exclusive, worldwide, royalty-free license to host, process, store, transmit, and display User Content solely to:
    • provide and maintain the Services,
    • secure and troubleshoot the Services,
    • perform analytics and service improvements using aggregated/de-identified information, unless otherwise restricted by contract or law.

You represent that you have the rights and permissions needed to provide User Content.

7. Intellectual Property

All rights in the Services (excluding User Content), including software, UI, documentation, branding, and related materials, are owned by LyncLab or its licensors.

No transfer of ownership occurs under these Terms.

You receive only a limited, revocable, non-exclusive right to use the Services in accordance with these Terms.

8. Fees, Billing, and Payments

Where paid services apply:

  • pricing, billing cycle, and payment terms are as communicated in applicable proposals/order forms/contracts;
  • unless otherwise agreed, fees are non-refundable;
  • you are responsible for applicable taxes, duties, and levies (except taxes on our income).

We may suspend paid services for overdue accounts after reasonable notice.

9. Privacy and Data Protection

Your use of the Services is also subject to our Privacy Policy.

Where we process personal data, we do so in accordance with applicable law and our internal governance controls.

10. Third-Party Services

Services may integrate with third-party infrastructure/providers.

We do not control third-party services and are not responsible for their independent acts, omissions, or terms.

Your use of third-party services is subject to their own policies/terms.

11. Service Availability and Changes

We may modify, update, suspend, or discontinue parts of the Services at any time for operational, security, legal, or business reasons.

We do not guarantee uninterrupted or error-free operation at all times.

12. Disclaimers

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.

LyncLab disclaims implied warranties (including merchantability, fitness for a particular purpose, and non-infringement) except where such disclaimers are not legally permitted.

Any analytics, insights, recommendations, or predictive outputs are decision-support information and not guaranteed outcomes.

13. Limitation of Liability

To the fullest extent permitted by law:

  • LyncLab is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue/data/goodwill;
  • LyncLab’s aggregate liability arising out of or related to the Services is limited to the fees paid by you for the affected paid Services in the 12 months preceding the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnity

You agree to indemnify and hold harmless LyncLab and its officers, employees, and affiliates from claims, liabilities, damages, and costs (including reasonable legal fees) arising from:

  • your breach of these Terms,
  • your misuse of the Services,
  • your User Content,
  • your violation of law or third-party rights.

15. Suspension and Termination

We may suspend or terminate access immediately where:

  • you materially breach these Terms,
  • your use creates legal/security risk,
  • required by law or competent authority,
  • continued service is commercially or operationally impracticable.

Upon termination, rights granted to you cease immediately.

Provisions intended to survive (including IP, confidentiality, disclaimers, liability limits, governing law) will continue.

16. Force Majeure

Neither party is liable for delays/failures caused by events beyond reasonable control, including natural disasters, major outages, cyber incidents, labor disputes, war, terrorism, or government actions.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Malaysia.

Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

18. Changes to Terms

We may revise these Terms from time to time.

Updated Terms will be posted with a revised “Last Updated” date.

Continued use of the Services after updates take effect constitutes acceptance of the revised Terms.

19. Language

These Terms may be provided in more than one language.

In the event of inconsistency, the English version shall prevail.
